1.3. Responsibility for Third-Party Content
vu.chat is not responsible for the content or accuracy of the websites it monitors. Our service merely reports changes and uptime status based on the information available.
1.4. Service Limitations and Fair Use
To ensure quality and fairness, our service is subject to certain limitations, which may include:
- A maximum number of websites monitored per account.
- Frequency limits on uptime checks and change detections.
- Bandwidth usage and data processing limits.
1.5. Service Reliability
While we strive for the highest service reliability, we acknowledge potential downtimes due to maintenance or unforeseen technical issues. We commit to minimising such occurrences and providing timely updates and support.
1.6. Amendment Procedure for Terms of Service
We reserve the right to modify these Terms of Service. Any changes will be communicated through our website or via email to registered users. Continued use of our services after such changes constitutes acceptance of the new Terms.

2. Requirements for Account Registration

- Maintaining the confidentiality of your password and account details, acknowledging that you bear the sole responsibility for any unauthorised access to your account resulting from your failure to keep this information secure.
- Promptly notifying us upon becoming aware of any security breach or unauthorised use of your account or our Services.
- Accepting responsibility for all activities conducted through your account, including any unauthorised use of your account due to your negligence in safeguarding your account information.
3. Eligibility

- You will comply with these Terms and all applicable local, state, national and international laws, rules and regulations; and

4. Limitation of Liability
4.1. Damages
Except for obligations under the indemnification and confidentiality clauses of these Terms, neither party, nor their affiliates, officers, directors, employees, agents, suppliers, or licensors shall be liable under any legal theory (including contract, tort, negligence, or otherwise) for any indirect, incidental, special, exemplary, consequential, punitive, or other similar damages. This limitation applies regardless of prior notice or foreseeability of such damages. vu.chat is also not liable for consequential losses related to its indemnity obligations.
4.2. Third-Party Permissions
vu.chat grants no rights or permissions regarding Service Data accessed through the Services. Such data may be protected by third-party copyrights or other intellectual property rights. vu.chat is not liable for any third-party claims arising from your use of Service Data, nor for any alleged copyright or intellectual property infringements resulting from such use.
4.3. Aggregate Liability
Notwithstanding anything to the contrary in these Terms, our total liability to you or any third party arising from these Terms or the use of the Service shall not exceed the subscription charges paid by you in the twelve (12) months preceding the first incident giving rise to liability. For free service users, our total liability is capped at £10 GBP.
4.4. Jurisdictional Variations
Some jurisdictions do not permit certain liability limitations, including but not limited to, the exclusion of implied warranties, and limitations on liability for incidental, consequential damages, death, personal injury, or fraud. In such jurisdictions, vu.chat's liability is limited to the maximum extent permitted by law.
4.5. Release
If you have a dispute with a third-party data source related to the Services, you release vu.chat and its officers, directors, agents, subsidiaries, joint ventures, and employees from all claims, demands, and damages arising from such disputes. California residents waive California Civil Code §1542.
4.6. Exclusion of Personal Liability
Claims against vu.chat shall be enforceable only against the company and not its officers, directors, employees, contractors, or agents.
5. Legal Compliance in Service Usage
You are responsible for ensuring the legality of your use of our Services and Service Data. vu.chat will not intentionally develop or host any data extraction or import tools that are clearly illegal. By using our Services, you guarantee that your actions are legal and ethical and that you have secured any necessary permissions for using the Services on the intended data source. vu.chat reserves the right to deny service to anyone intending to use the Services unlawfully. Should vu.chat be requested by the data source you are targeting to stop any extraction activities, your access to the Services may be immediately suspended. Additionally, if a third party initiates legal action related to your use of the Services and/or Service Data, you agree to indemnify and defend vu.chat, along with its parent companies, subsidiaries, affiliates, officers, directors, agents, contractors, and employees, against any claims, losses, expenses, or demands, including solicitor fees.
5.1. User Responsibilities and Legal Obligations
You acknowledge that your utilisation of the technologies, tools, applications, and products provided on the Site and through the Services is exclusively for extracting data from publicly available websites. In instances where the extracted data might include proprietary, copyrighted, or confidential information, you commit to adhering to all applicable copyright and intellectual property regulations, including but not limited to the handling, storage, reproduction, and distribution of such data. Additionally, in situations where Personal Data forms a part or the entirety of the extracted data, you agree to fully comply with all relevant Data Protection Laws. This includes adherence to Data Protection Laws within any jurisdiction where the data is used or processed.
5.2. Service Use Limitations and Restrictions
Alongside adhering to other terms, conditions, and restrictions outlined in these Terms, you agree to refrain from the following actions:
- Utilising the Service to process data for any third party, unless they are also bound by these Terms;
- Altering, customising, or hacking the Service, or attempting unauthorised access to the Service or its related systems and networks;
- Implying a false affiliation or partnership with vu.chat;
- Employing the Service and/or Service Data in any way that violates any applicable laws, including but not limited to infringement of privacy rights under Data Protection Law;
- Linking, uploading, posting, emailing, transmitting, or making available Service Data or other content unlawfully, or in violation of contractual or fiduciary obligations;
- Linking, uploading, posting, emailing, transmitting, or making available Service Data or content that infringes on any patent, trademark, trade secret, copyright, or other proprietary rights;
- Storing or transmitting content via the Service that infringes on the intellectual property rights of others;
- Using the Service to access or retrieve data from third-party systems, services, or sites in a manner that violates their terms of service;
- Using the Service in ways that compromise the integrity or performance of the Services and its components;
- Trying to decipher, decompile, reverse engineer, or uncover the source code of any Software constituting the Service;
- Using the Service to knowingly distribute unlawful, hateful, abusive, libellous, obscene, discriminatory, or inappropriate content;
- Using the Service to spread viruses, malware, worms, back doors, trap doors, Trojan horses, time bombs, or any other harmful software ("Malicious Software");
- Creating fraudulent accounts; or
- Attempting to use the Service in ways that violate these Terms or any applicable laws.
6. Disclaimer of Warranties
Except as explicitly stated in these Terms of Service, the Site is provided "as is" without any additional warranties. The content on the Site is offered with no assurances, conditions, or guarantees regarding its accuracy. To the fullest extent permitted by law, we, along with our group companies and affiliated third parties, explicitly disclaim:
All implied conditions, warranties, and other terms that might be inferred by statute, common law, or equity law. We exclude liability for any direct, indirect, or consequential loss or damage suffered by users in relation to our site(s), including but not limited to: loss of income or revenue; loss of business; loss of profits or contracts; loss of anticipated savings; loss of data; loss of goodwill; wasted management or office time; and any other loss or damage, irrespective of cause (tort, negligence, breach of contract, or otherwise). 8. Free Trials
We may offer free trials of certain Services. Free trials allow you to evaluate a Service on a trial basis before subscribing. We reserve the right to determine your eligibility for any free trial, and may limit or restrict your ability to take advantage of any free trial offer. We reserve the right to modify or terminate any free trial at any time, without notice and in our sole discretion. Once a free trial period ends, you must subscribe to continue using the Service.
9. Termination Rights
vu.chat retains the right to terminate your license to use the Site and Services at its sole discretion, without prior notice, and to deny future access and use of the Site and Services.
10. Site Content Updates
We regularly update the Site and may change content at any time. We reserve the right to suspend access to our Site or close it as needed. Site content may become outdated, and we are not obligated to update such material.
11. Subscription Fees
Our Services may involve fees. By using these Services, you consent to pay all relevant fees and taxes. These fees are non-refundable. We retain the discretion to modify our fees and payment methods. Occasionally, we might adjust fees for promotions, new Services, or other reasons. Adjustments in fees, when continued use of the Services occurs, implies your agreement to the new pricing.
We offer trial periods for certain Services. At the trial's conclusion, a paid subscription commences automatically unless you cancel it. To avoid charges for the upcoming period, cancel before the subscription renews.
Subscribing to a Service entails your authorisation for recurring billing through your chosen payment method. If payment is not received, we may restrict or end your access to paid Services. Late payments may incur interest charges.
You have the option to cancel paid Services anytime. Note that cancellation does not warrant refunds or credits for charges already incurred or paid prior to the cancellation.

13. Website Availability

These Terms of Service, and any associated disputes or claims, whether directly related, contractual, or non-contractual, are to be governed and interpreted in line with the laws of England and Wales. Both parties firmly consent to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes or claims emerging from or connected to these Terms of Service, ensuring clarity and legal certainty in all aspects of our agreement.
